Today, 'corporate governance is at the forefront of investors’ thinking' and increasingly recognised as 'integral to the operations of every company, large and small, public and private'.

As 'the internal means by which corporations are operated and controlled'3 and thus 'the process by which corporations are made responsive to the rights and wishes of stakeholders',4 one of the most important components of effective corporate governance is a sound system of internal control. Internal control consists of the primary system to enable a corporation to set and implement corporate objectives and the control mechanisms that enable the identification, assessment and management of risks in relation to meeting those objectives.
