AMEC Acquires Leading UK Environmental and Engineering Consultancy Entec Holdings Limited
30 March 2010
AMEC, the international engineering and project management company, announces today the acquisition of Entec Holdings Limited, a leading UK-based environmental and engineering consultancy, from its owner-managers and investors, Growth Capital Partners, for an initial cash consideration of £61.2 million.
Entec is a true multidisciplinary consultancy providing a wide range of skills in depth to a long-standing public and private sector customer base. The acquisition will strengthen AMEC’s relationships with existing customers, as well as provide access to new ones.
Entec has some 700 professional employees and is headquartered in Newcastle with 14 offices across the United Kingdom. Through their expertise, the company has developed leading positions in the water, solid waste, energy and infrastructure development sectors. It brings together planning, design, environmental science and engineering to deliver projects as diverse as climate change policy making, flood risk management, wind farm development, nuclear waste management, water treatment and environmental planning and regeneration.
The acquisition is fully aligned with AMEC’s Vision 2015 strategy which focuses the business on assured growth through a strengthened geographic footprint and enhanced capabilities in key sectors. The acquisition, which is expected to be earnings enhancing immediately, will complement AMEC’s existing environmental business in the UK which employs over 100 specialists and operates out of eight offices across the country.
“Acquiring Entec Holdings Ltd is another important step in our strategy of enhancing our water and environmental consulting capabilities internationally,” said Roger Jinks, President of AMEC’s Earth & Environmental division.
Elaine Moore, Executive Vice President Europe and United Kingdom of AMEC’s Earth & Environmental division, added: “The addition of Entec’s high quality people significantly enhances our position in the water sector around the world. The acquisition also supports AMEC’s goal of strengthening the Earth & Environmental division’s position in Europe.”
“Entec brings to AMEC extensive experience at nuclear new build sites; they are involved with many renewable energy projects, are experienced at transmission and pipeline permitting and can support water supply and water quality issues on almost any type of project.”
Entec’s customers span government departments and utility and private sector companies. They comprise most of the UK water companies (including Northumbrian Water), the European Commission and UK Government including the Environment Agency, DEFRA, Defence Estates, WRAP and the Carbon Trust. In the energy sector customers include National Grid, EDF, EoN, RWE and all leading renewable energy developers. BAA and The Crown Estate are also major, long-standing customers.
Welcoming the news, Simon Armes-Reardon, Entec’s Managing Director, said: “This acquisition is very important for our continued growth; clients are increasingly looking to work with companies that deliver a greater depth of services and we look forward to our continued development within AMEC. Being part of such a broad business also offers attractive new career development opportunities for our staff and provides us with the ability to pursue large and exciting new projects.”
“Ongoing projects and contact points within Entec will be unaffected by the acquisition.”
