RecShow '08 Middle East Recycling, Waste & Environmental Technology Exhibition & Congress Kempinski Hotel, Dead Sea - Jordan 17-20 February 2008 THE CONDITIONS OF PARTICIPATION 1. Establishments which sign this contract in order to participate in the Exhibition shall be hereinafter referred to as PARTICIPANT and MEEF Int’l Event Management as MEEF. This contract shall become valid as the parties hereto shall accept without modification all the conditions set forth herein and sign this contract. 2. Obligation of the participant shall commence upon the signing of participation certificate and any rejection to participate in the exhibition following the signing shall not release the participant from its obligations. 3. Participant may not transfer its rights and obligations arising from this contract to third parties. Payment of participation fee under any other name shall not mean that consent has been given to the transfer of the rights and obligations stipulated herein. 4. Any notification made to the addresses of the parties given in this contract shall be deemed been made to them. If any party changes its address, the new address shall be notified to the other party within one week. Parties are deemed to have accepted this in advance. 5. MEEF warrants that it shall organize the said exhibition at Ishtar kempinski Hotel, Dead Sea, and open it on the predetermined date. Visitors to the exhibition shall be required to pay entrance fees. No participant may claim any right on the entrance fees to be paid by visitors. 6. MEEF shall determine the locations of companies in exhibition area in accordance with the plan and will hand it over to the participants in an unoccupied manner. Participation certificate shall indicate the number, dimensions, price and payment plan of exhibition stand to be hired to the participant. 7. Customer shall furnish the interior decoration of the stands at his own expense. It is among the obligations of the participant to employ a staff who will be able to provide technical and commercial information during his/her presence at the stand from the beginning until the closing of the exhibition. The representative, who has been assigned as the responsible person for the exhibition, shall be present at his/her stand from the beginning until the closing of the exhibition. 8. Participant company shall employ a representative at its stands everyday at least 30 minutes before the opening hour of the exhibition and leave its stands at the closing hour of the exhibition. 9. Participant shall use the stand in a manner defined in the contract. Participant cannot use or engage in trade in the stands for purposes other than those stated herein. Any behavior to the contrary will cause a breach of this contract. Penal and legal responsibilities against third parties shall belong to the participant while the stand is in use. Participant shall be liable to reimburse in cash all damages given to exhibition center. 10. Exhibition participation fee shall include following services to be provided by MEEF Promoting the exhibition in various media, printing the exhibition catalog and distributing the same to relevant locations, providing information office services, ensuring general security at exhibition area and providing general cleaning services (participant shall be liable to clean inside the stands). Standard modular stands to be used in stands, transportation, loading and stacking services of the products to be exhibited, electricity, water, air with pressure, additional stand material, hostess, translator, office furniture and all similar services shall be subject to an additional fee. If the participant company requests additional services, all material leased shall be returned without damage and in original. Participant company shall be liable to reimburse it if such material is damaged or lost. 11.Any company which is represented at stands of other companies by means of brochure or display of product shall pay a minimum hiring fee to MEEF (fee for 9 square meter stand) if there is no official franchise or agency contract. 12. Exhibition organized by MEEF may become impossible to operate in part or in whole due to force majeure conditions (such conditions are acts of governmental or official authorities, war, strike, riot, quarantine, epidemic, insurgence, natural disasters and other situations beyond the control of MEEF) In the event that any of these conditions occurs before the date of exhibition, entire exhibition will be postponed to a further date with all stand areas and periods being the same. In the event that any of these conditions occurs after the date of the exhibition, MEEF shall have no liability. 13. Any customer who signs the exhibition participation certificate shall comply with the conditions of participation, the warnings defined in participation guide and the exhibition schedule. 14. If the payments determined under this contract fail to be settled on due date, then subsequent payments shall also become due. 15. Courts and Execution Offices of Amman shall have jurisdiction over the settlement of disputes that may arise from this contract. This contract consists of 15 Articles.
