Environmental Due Diligence
The purpose of environmental due diligence (EDD) is to evaluate potential liability costs associated with environmental issues. It is an important part of most merger and acquisition procedures.
Ramboll`s experience with environmental due diligence encompasses merger and acquisition projects for a broad range of clients in various industries. Project purchasers can benefit from a potential reduction in sales price, while sellers can benefit from unchanged sales prices.
Our wide network of specialists enables us to carry out the EDD process anywhere in the world and we provide a unique range of services that cover all aspects of EDD. Clients benefit from our wealth of knowledge in the potential environmental issues. We can help deal with soil and groundwater contamination, noise, dust, odour, spatial planning and health and safety.
The EDD process involves evaluating historical land-use data and activities, interviewing relevant staff, site inspections and the evaluation of risks and potential costs. Health and safety issues are often involved too.
The full EDD process usually includes:
- start-up meetings with the client or their lawyer
Phase I
- data room inspection
- a questionnaire or interviews with managers
- site inspection
- a report, including findings, risk evaluation, liability costs and recommendations
Phase II
- field investigations of recommended issues from phase I
- a report, including detailed budgets for remediation or abatement
These general processes are always tailored to meet client needs.
Phase III
- remediation of located contamination, and/or abatement of noise, vibrations or odour
