Mergers & Acquisitions

The impact of environmental, sustainability and compliance risks on any business engaged in a merger or acquisition can be very significant. Vendors, acquirers and lenders should consider these issues very seriously in their acquisition, ownership and exit strategies, as their impacts are felt in terms of capital outlay, management time and reputational risk. At WSP, our worldwide team and the depth of our technical expertise, ensures we are well placed to handle multi-site and multi-jurisdictional transactions, as well as M&A work on single operations. The breadth of our team means we have local understanding of regulatory regimes and market conditions, and can evaluate and advise on their material significance.

Post Transaction Support

Managing the issues and liabilities identified by the due diligence process is crucial to achieving the best value from a transaction and aiding integration. This approach benefits a business by reducing risks during the period of ownership and enhances the value at the point of divestiture / exit. The due diligence process will identify any number of issues that require attention. These can include operational improvements to ensure a business complies with key legislation such as REACH or the Energy-using Products Directive; or improvements in environmental management standards to mirror the industry best practice status of the acquirer`s existing operations. There is also the risk of regulatory action or third party liability from assets identified to have contaminated land or asbestos issues.

Sustainability & Water Services

ENV’s Sustainability and Water group provides a range of expertise in environmental systems, surface water and drainage management, groundwater and wetland assessment, wastewater treatment, algae management and balancing environmental, planning and logistical constraints in a water context. The Sustainability and Water Group consults in the following areas: Urban Water Management Plans; Groundwater and surface water monitoring; Urban sustainability, including improving water efficiency and investigating alternative water supplies; Land capability assessments for effluent disposal; Water management advice for infrastructure projects; Lake management; and Planning issues associated with surface and groundwater management.

Environmental Management Services

The Environmental Management Group assists clients in the land development, resources, infrastructure, government and industrial sectors to achieve environmental approvals and manage environmental assets. Specialising in regulatory advice, project management and client communication, the Group coordinates ENV’s technical expertise to achieve approvals such as: Formal Environmental Impact Assessment; State and Federal environmental legislation referrals; Due diligence reports; Site selection assessments; Environmental assessment to support strategic planning; Environmental assessment to support rezoning and subdivision applications; Clearance of conditions of planning approval; Environmental Management Plans, such as Wetland and Foreshore Management Plans; Construction Management Plans; Mitigation and offset strategies; Government and industry policy development; Works approvals; Environmental operating licences; Environmental Management Systems; and Environmental audits.

Flora Services

With knowledge gained from biological surveys comes the ability to protect the environment before, during and after development. Biological consulting staff at ENV are able to design, implement and manage biological surveys consistent with EPA Guidance Statement No. 51 (Terrestrial Flora and Vegetation Surveys for Environmental Impact Assessment in Western Australia). In addition to the need for baseline botanical survey work associated with land disturbance for major projects, new clearing legislation has focused on the need to obtain specific approval in all instances where native vegetation may be cleared or disturbed. These regulations were implemented to control and minimise the destruction of native flora and vegetation.

Fauna Services

Biological consulting staff at ENV are able to design, implement and manage biological surveys consistent with EPA Guidance Statement No. 56 (Terrestrial Fauna Surveys for Environmental Impact Assessment in Western Australia). Staff at ENV regularly interact with stakeholders from the Department of Environment and Conservation (Perth and Regional Branches), academia and the Western Australian Museum to keep abreast of current issues relating to terrestrial fauna trapping surveys. These include issues such as trapping methodology, survey timing, data-basing, vouchering and data interpretation.
